Parties. This referral agreement (this "Agreement") is created between you and Collective Liquidity, Inc. (the "Company").
Effectiveness. This Agreement will be effective on the date you sign on agreement by clicking "I agree" below.
Referral Fees. The Company will pay you a referral fee of $200 for the first “Qualifying Referral" you introduce to the Company and $100 for each subsequent introduction of a Qualifying Referral; provided, however, that the maximum amount that may be earned by you in any 30-day period shall be $500. A “Qualifying Referral” shall mean any person that: (a) owns options or shares of companies listed on the Portfolio section of the Company's website at the time of the referral, and (b) speaks with a Company Customer Service Representative, and (c) receives an offer from the Company.
Relationship. Nothing in this Agreement shall be construed as making you an employee, partner or agent of the Company. You will have no authority to bind the Company in any negotiation or contract with any third party. You agree not to make any written or verbal statements or promises to referral candidates or other third parties regarding the specific prices to be paid by the Company for any particular securities or the terms of any Company offer to a referral candidate.
Advertising Prohibited. You agree not to advertise or market the Company, its products or services or its referral program or make any false or misleading statements regarding the Company, and that you will only refer people with whom you have a pre-existing relationship.
Term. This Agreement will terminate upon the earlier of the first anniversary of its effectiveness or upon written notice by either party to the other at any time and for any reason. Upon termination, this Agreement shall have no further force or effect except that Section 7, shall survive the termination indefinitely.
Limitation of Liability. Neither party shall be liable to the other party or to any other entity or individual for any loss of profits, revenues, or trades, or any indirect, special, consequential, punitive or incidental loss or damage of any nature arising from any cause whatsoever, even if the party (or its affiliate or third party provider) is/was aware of the possibility of such loss.
Miscellaneous. This Agreement shall be governed by and construed in accordance with the laws of New York. If any provision of this Agreement is found to be void or unenforceable by a court of competent jurisdiction, then the remaining provisions will remain in effect. This Agreement contains the entire agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior agreements, understandings and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The Parties agree that any modifications or amendments made to this Agreement must be in a writing signed by both parties.
